Terms & Conditions

These Terms & Conditions (the “Terms”) govern your access to and use of the BISTEC Care practice management software, websites, mobile applications, and related services (collectively, the “Service”) provided by BISTEC Care Private Limited (“BISTEC Care”, “we”, “us”). By signing up for, subscribing to, or using the Service, you (“Customer” or “you”) agree to be bound by these Terms.

1. The Service

BISTEC Care is a cloud-based Software-as-a-Service (SaaS) platform designed to help clinics manage appointments, patient records, billing, inventory, communications, and related workflows. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your lawful internal business purposes during your active subscription.

2. Accounts & Access

You are responsible for maintaining the confidentiality of login credentials issued to you and your authorised users, and for all activity that occurs under those accounts. You must notify us promptly of any suspected unauthorised access. Access may be restricted to named users in accordance with the plan you subscribe to.

3. Subscription & Fees

The Service is provided on a subscription basis (monthly or annual), with fees, included users, and modules set out in your order form or the plan you sign up for. Fees are exclusive of applicable taxes. Subscriptions renew automatically for successive terms at the then-current pricing unless cancelled before the renewal date.

We may adjust subscription pricing with at least thirty (30) days’ prior notice, to take effect from the next renewal term.

4. Payment

Invoices are payable in the currency stated on the invoice within the agreed payment terms (fourteen days unless otherwise stated). Overdue amounts may attract late fees and, at our discretion, lead to suspension of the Service until the balance is cleared.

5. Cancellation & Refunds

You may cancel your subscription at any time. Refund eligibility is governed by our Refund Policy, which forms part of these Terms.

6. Customer Data & Patient Records

All clinical, patient, and business data that you or your users upload or enter into the Service (“Customer Data”) remains your property. You are the data controller of that information; BISTEC Care acts as a data processor on your behalf and processes Customer Data only to provide, maintain, and support the Service, or as required by law.

You are responsible for (a) obtaining any consents required from patients and staff under applicable law, (b) the accuracy and lawfulness of the information you upload, and (c) configuring user access within the Service appropriately. Our handling of personal data is described in our Privacy Policy.

7. Acceptable Use

You agree not to: (a) use the Service in breach of any law, including healthcare, data protection, or consumer protection law; (b) attempt to reverse-engineer, copy, or resell the Service; (c) upload malicious code or attempt to interfere with the Service’s security or availability; or (d) use the Service to send unsolicited bulk communications.

8. Availability & Support

We aim to keep the Service available 24/7 and apply bank-grade security and backup practices. Planned maintenance will be communicated in advance where practicable. Support is provided during published business hours through the channels listed on our Contact page.

9. Intellectual Property

The Service, including all software, interfaces, documentation, and branding, is owned by BISTEC Care or its licensors and is protected by copyright and other intellectual-property laws. These Terms do not transfer any ownership rights to you.

10. Confidentiality

Each party agrees to protect the other’s non-public information disclosed in connection with the Service, and to use it only for the purposes of these Terms.

11. Suspension & Termination

We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts due, or use the Service in a way that creates risk for us or other customers. On termination we will make a reasonable export of your Customer Data available to you for a period of thirty (30) days, after which it may be deleted from our active systems in accordance with our retention schedule.

12. Disclaimer

The Service is a software tool and is not a substitute for clinical judgement. You remain solely responsible for all clinical decisions, patient care, and regulatory compliance within your practice. The Service is provided on an “as-is” and “as-available” basis to the extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, BISTEC Care’s total aggregate liability arising out of or in connection with these Terms is limited to the fees paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, or for loss of profits, goodwill, or data.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified to the primary account contact by email or in-app notice. Continued use of the Service after the effective date of any updated Terms constitutes acceptance of those changes.

15. Governing Law

These Terms are governed by the laws of Sri Lanka. The courts of Colombo have exclusive jurisdiction over any dispute, except that we may seek urgent injunctive relief in any competent court.
